Notice of rights of members in connection with certain documents

NeuRizer Ltd ACN 107 531 822 (NeuRizer) gives notice pursuant to section 110K of the Corporations Act 2001 (Cth) (Corporations Act) of the rights of members of NeuRizer (Shareholders) to:

  • elect to be sent or not sent certain documents; and
  • make requests to be sent certain documents in physical or electronic form.

Documents

NeuRizer is required to send the following documents to Shareholders, and Shareholders are entitled to receive:

  • documents that relate to a meeting of Shareholders, such as a notice of meeting or proxy or voting forms;
  • the Annual Report of NeuRizer (comprising the financial report, directors’ report and auditor’s report for the relevant financial year); and
  • a notice of members’ rights under section 110K of the Corporations Act (such as this notice), unless the notice is readily available on a website,

together with any other documents prescribed by relevant regulations (collectively, the Documents).

Your right to make an election

Each Shareholder is entitled to elect:

  • to be sent Documents in either physical form or electronic form; and
  • not to be sent the Annual Report of NeuRizer (and any other documents prescribed by the relevant regulations),

by notifying NeuRizer of the election.

A Shareholder may make an election in relation to all Documents or specific Documents.

NeuRizer encourages all Shareholders to receive communications electronically.

Your right to request Documents

In addition to any election, a Shareholder is also entitled to request NeuRizer to send a particular Document to the Shareholder in physical form or in electronic form.

Notifying NeuRizer of your election or request

You can make your election and/or request by contacting NeuRizer through our contact page, or contacting the registry, Computershare, details above.

NeuRizer’s share registry is Computershare Investor Services Pty Limited.  You can access your NeuRizer (ASX code: NRZ) shareholding by accessing Computershare’s Investor Centre.  The first time you use this website, you will need to register by following the simple instructions you will find there.

Once you have logged in to Computershare’s Investor Centre, you will have access to the following information related to your shareholding:

  1. Summary – Access to your important portfolio information on one page
  2. Activity – View your recent payments and transactions for each account in your portfolio
  3. Documents – Download payment advices and other important documents
  4. My Profile – Quality check and update important account information across your portfolio

As a shareholder, you can choose to register the legal title to your shares on either the:

  • CHESS sub-register (also known as Broker Sponsored Holdings) – managed by the ASX via a Sponsoring Broker e.g. CommSec, NabTrade, or with a sharebroker, or
  • Issuer Sponsored sub-register – maintained by the company who issued the shares. Most companies engage a share registry to administer the sub-register on their behalf e.g. Computershare.

You can find out how your shares are held from the reference number on the top right corner of your latest holding or dividend statement.

If the reference number on your statement begins with an ‘I’ or ‘N’ this is a Shareholder Reference Number (SRN) which means your shares are Issuer Sponsored.  You will have a unique SRN for each Issuer Sponsored holding.

If it begins with an ‘X’ or ‘L’ you have a Holder Identification Number (HIN) and the ownership of your shares is registered electronically with CHESS by a Sponsoring Broker. Your unique HIN can register multiple securities.

Yes. Having mail sent from the company directly to your email account is the most efficient way of receiving company information.

After logging in to Computershare’s Investor Centre, click “My Profile” (top right hand of the page), then click “Communication preferences” from the drop down menu on the left of this page, and change your preference to electronic, by entering your preferred email address.
